                         Board Summary for CoDA World Board Conference Call
                         March 11   9am-11am PST

       Hello Fellowship,

We began as usual with a moment of silence followed by the Serenity Prayer.  Trustees in attendance were:  Evie, Jutta, Lisa, Barbara, Mercedes, Florence, Julie.

Barbara gave us the treasurer's report.  We approved the minutes for February. It is noted that the Travel Policy is still a work in progress but the goal is to have it ready for those who plan to attend the 2012 CoDA Service Conference (CSC).

We are still working on bylaw revisions. Lisa and Dagmar are working on a draft for review by the rest of the Board members.  We plan to meet the 75 day deadline for submission for CSC.  We are still working on renewing a contract with CoRE.

There is a request from the board for Outreach to forward legal questions tolegal@coda.org only vs. board@coda.org  to cut down on the emails received via the Board alias.  Trustees, Lisa and Florence are the legal liaisons and are on the legal@coda.org alias as is Evie, the board chair.  We make every effort to respond to the legal questions in a timely manner.

We passed a motion to give David G. money to upgrade his system to Windows 7 so that he can work on the Internet Explorer 9 issue with the meeting search engine portion of the website.

Lisa is currently reviewing "Board Source" to help develop our policies and procedures manual.  Dagmar is going to help in this work. They are to schedule a meeting on Skype for this to take place.

There is discussion about the Board's recourse for unresponsive or non-productive committees.  We may include wording for bylaw revisions to address the Board's authority in this matter.

Julie B. is happy to report that the Hospitals and Institutions Committee (H and I) is very active and have a scheduled face to face meeting to take place soon.

Barbara states that the Ad Hoc committee also has an upcoming teleconference.  They are concerned that they have only had 3 responses to their questionnaire.

In preparation for CSC, we intend to have bylaw revisions prepared for submission.  We have a face to face meeting tentatively scheduled for Sunday July 8th and Monday July 9th just before the start of conference.  US Board members will arrive on Saturday and international Board members will arrive on Friday.  Evie suggested that we use this time to take a group inventory.  We need to gather items and prioritize our agenda for our F2F meeting to maximize the use of our time.  Florence, as Board Secretary, is to maintain a list of delegates.  Barbara states we can get a list of delegates who register for conference. Lisa, Events liaison, is talking with Events concerning this issue.

We will be addressing the CSC agenda.  We need to assure the proper use of our time and we are considering giving international Voting Entity (VE) delegates time not just to report at CSC but also to have time to share with us what their VE needs.  We will also consider committee time needed.  Lisa will discuss these issues with Events.

Julie B. is asking permission to attend the next chairs forum meeting.  Natasha, from Issues and Mediation Committee, has granted her approval.  The Board also approves.

There is discussion about the fee charge for board members and chairs as well as delegates.  Especially since most of these members are reimbursed the fee by CoDA.  Lisa will do research and determine why we charge delegates and if we need to continue this practice.  It may have been used to cover the mailing charges of the delegate packets which we do not practice anymore with electronic versions available.

The IMC disputes are still being discussed.  IMC is giving us tentative dates to have teleconference to discuss their decision/outcomes in these disputes.  There is discussion of who needs to be recused.

Board of Trustees Report

Much time during Q4 was spent documenting the operational aspects of board responsibility.  This included beginning the development and documentation of policies and procedures for the board to follow, as well as a variety of templates starting with one that can be used as a basis for responding to the many requests we get for permission to quote our copyrighted literature.  The first policy developed was a Conflict of Interest Policy.  We are in the process of securing a policy sampler for non-profit boards that we will use as a basis for future policy development. 

The board and the Finance Committee are working together to develop a revised Expense Reimbursement policy and process.  Our hope is to have this completed by the end of February so that we can submit it to committee chairs for their input.  The agreed upon policy will be made available well in advance to those who will be eligible to receive reimbursement as a result of attending next July’s CoDA Service Conference (CSC) as early as possible, and will be presented for approval at CSC.

We continued working with our Intellectual Property (IP) lawyer to complete the various processes started by the previous board to protect all our copyrights and trademarks.  Based on some feedback from non-US Voting Entities (VEs) we simplified the royalty calculation process portion of the Publication and Distribution agreement.  We hope to have the agreement format finalized by mid-Q1 so that we can focus on planning the implementation process.  Other international VE activities this month included working with members of the Mexico Fellowship to assist them with various issues that have arisen there and developing a letter template to be used to welcome new international VEs as we are made aware of their existence.

We completed the interviewing for a new Website Coordinator to replace Roy L of GA and Leo C of SoCal was selected.  The second candidate interviewed, David G of NorCal, who is very technically knowledgeable, will be hired to handle several improvement projects starting with the meeting database and search engine. 

In order both to save money and to finalize as many operational things as possible as quickly as possible we decided to have a mini face to face (f2f) meeting in southern California in early January.  All west coast board members plus one non-US member will participate, and all work completed at the f2f will then be passed by the whole board for ratification.  We will not have a full f2f board meeting until we all travel to CSC.

We began a review of the VE issues from CSC 2011, all but one of which was assigned to the board.  Where deemed appropriate by the board and any appropriate committees, motions related to these VE issues will be prepared for vote at CSC 2012.  We have begun discussions about how to best improve communication related to VE issues between CSCs and we plan to share status of specific CSC 2011 VE issues during Q1.

We continue to have monthly conference calls which are scheduled during the previous conference call.  The date and time of each call is sent out in the meeting summary as well as via a notification email to all committee chairs.  Non board members are welcome to listen in on most con calls, except those in executive session to deal with legal or personnel issues.  Those interested should follow the Conference Call Guidelines that are included with the notifications that are sent out. 

The Fellowship of Codependents Anonymous has a primary spiritual purpose: to reach out to codependents across the world who have a desire for healthy and loving relationships.  We exist as a corporation solely to support that spiritual purpose and it is important that the Board of Trustees always keeps this in mind as we fulfill our duties. These duties fall into two broad categories: those that support our spiritual purpose for existing and those that deal with the operational business of the corporation.  Most of our time during Q4 was spent on dealing with issues associated with the latter.  In addition, the majority of our time was spent in react mode rather than being focused in a more strategic manner.  We hope over time to become much more strategic and to focus more of our time on our spiritual purpose.  We will always bear in mind that we are an inverted pyramid and that “Our leaders are but trusted servants; they do not govern.”

Events Committee Report

Plans are moving forward for the 2012 Service Conference and Convention scheduled for the week of July 10-15, 2012.  The contract with Sheraton Four Points Hotel has been approved.  The theme for the Convention is Recovery, Discovery and Self Respect….

A number of financial concerns continue to be addressed.  The committee is concerned that we continue to have problems with PayPal, and Events would like to acquire the ability to use credit cards through a Merchant Account.  The Finance Committee and the Board are being consulted on this.  Michelle is also pursuing this with Laura who designed our registration form.  One of the steps the committee has taken that we think will allow for better accounting is that there will be totally separate registrations for CSC and for the Convention.

Chris is checking on early registrations so that we can set up a spread sheet for the 2012 events registrations.  David will talk to Geff about getting a list of delegates so that we can set up a database to send out documents pertaining to CSC.

Online registration will be up on the CoDA website on Feb 1, 2012.  You are encouraged to register early, especially if you are a delegate.  We also are looking for someone to host the CSC and the Convention in 2013.  If your community is interested in bringing the International CoDA Convention 2013 to your town, please contact us at events@coda.org

The Events Face-2-Face meeting is scheduled for January 20, 2012, at the Sheraton Four Points Hotel in Ashville, NC.  Because of budget concerns only four officers will attend but arrangements are being made so other members can join by conference call or Skype.  Meeting at the event site always seems to allow us to pull a lot of loose ends together.  We will finalize the Convention flyer and the registration forms at that meeting.  Hopefully, we will be able to include them at the end of the QSR. 

It was agreed that we can invite a famous keynote speaker so long as he or she is a member of a 12-Step program.

Communication Committee Report

The Communication Committee remains pretty busy.  During the last quarter several items were written and posted to the email list.  Geff continues to maintain this list and is doing an excellent job of that.  Here are the current numbers for subscriptions: 

A description of 7th Tradition funds and their use has been written up for distribution via the email list and was sent out. 

We also sent 'blasts' concerning the “30 Questions” which, although not yet CoDA Conference approved, is a process that many have found helpful.

My biggest embarrassment is cPhone (the process where CoDA volunteers will handle the incoming calls currently going to our answering service) as it has gone nowhere.  I hope to pick up the pieces of that this quarter.  I have gathered the names of those who responded to the last email notice asking for volunteers and will contact them to see if they are still interested and we may send another notice asking for more volunteers. 

We have completed our Policy and Procedures manual and it was sent to the Board. 

We made contact with the Events Committee to ensure that a better process occurs this year at CSC to gather the names of the contacts for the VEs as well as delegates. 

Work was done to nail down a PSA.  There were some promising leads, but at the moment there is nothing to report.  After the “holi-daze” wears off, people may be more responsive.

Other items on our list of goals include reviewing the Communication and Recovery pamphlet, finding ways to reach those who do not use computers or the internet, and notifications of VE & Intergroups about meeting changes.  We have also attempted to acquire some new members.

One of our esteemed members is working on a newsletter for CoDA.  We hope to see something fairly soon and are excited about this.  CoDA hasn't had a newsletter since the Bear Facts.  Co-NNections used to provide something similar, but it has also been a while since anything was sent in newsletter format.  We envision that this will contain news and events from all over the CoDA world.  Even though there is a page on the website, this will hopefully be sent to members instead of hoping they will go to the website and find what they want to see.  We will utilize the email lists to promote this and to send it out.

The Communication Committee continues to have monthly conference calls.  Current members of the committee are Allan (SoCal), Doug (FL), Eric (CO), Geff (WA), Leo (SoCal), and Liz (PA).  Our board liaison is Julie.  If you are interested in joining us, please send an email to commchair@coda.org.

Finance Committee Report

The Fellowship's 7th Traditions in 2011 were up 7.48% over 2010, to $22,047.22

We are pleased to report that royalty income from sales of literature was up 11.43% to $81.901.24

In total, though, our 2011 income was $126, 563.95, up less than 1% overall over the previous year.

Expenses were up, overall almost 17%, to a total of $141,144.09.

Some of the items with large increases in costs were telecommunications, independent contract labor, and CSC travel.

The Finance Committee and the Board hope to have the new expense reimbursement policy in place well ahead of the 2012 CSC in Asheville.  We want to give members a chance to offer feedback before the Conference.  Watch for updates in the email blasts.

Issues Mediation Committee Report

Accomplishments & Progress

The IMC continues to meet monthly by teleconference call and go over various issues.  Handling disputes is our primarily function.  But, we are actively involved in other issues as well.

1.         A lead IMC member still has to close a dispute back East with a final report letter.  NEAR COMPLETION. 

2.         The IMC is handling some final matters in the previous Board/committee dispute.  NEAR COMPLETION. 

3.         Continued progress work with another dispute.  Finishing up internal discussions and interviews.  IN PROCESS.

4.         Continued progress with a newer dispute.  Takes longer since we need translation of some correspondence.  IN PROCESS. 

5.         Selected a date and city for our upcoming F2F meeting in Phoenix, AZ in late February 2012.  Currently working on the agenda to include a variety of tasks and projects.  IN PROCESS. 

6.         Worked with the Finance Committee & Board Liaison on IMC’s CSC 2011 approved Budget and Goals.  COMPLETED.

7.         Continue to work on a new internal IMC “Procedures, Policies and Practices” document on “how we handle disputes.”  This will not only assist us on providing a standard quality to follow within IMC, but will provide newcomers into the IMC with valuable training and information.  This will also fulfill the CoDA goal of providing an historical operating document.  Scheduled to work on during F2F meeting.  IN PROGRESS

8.         Plan to review the CoDA FSM “Disagreement, Mediation and Resolution” process (as approved by the Fellowship at CSC 2011) prior to CSC 2012.  PENDING. 

9.         Continue to work on the new procedure to monitor and track the CoDA VEIs (Voting Entity Issues).  Decided to include Ad Hoc Committee, CoDA Board and Chairs Forum in process.  Already had discussions with Board Chair and Ad Hoc Committee member to get important feedback and new ideas for greater CoDA inclusion.  IN PROCESS.

10.         Will work on finding any needed IMC placement and/or updates issues on http://www.coda.org website at F2F meeting.  IN PROGRESS. 

11.         Will distribute remaining IMC member ERRs to Bookkeeper/Finance Liaison/Treasurer & Finance Committee Liaisons with original receipts and CSC approval of IMC funds.  PENDING. 

12.         Continue to send our Board Liaison our Meeting Minutes once approved.  COMPLETED & IN PROCESS.

13.         The IMC Chair continues to work with the Chairs Forum on a monthly basis through teleconference calls.  IN PROGRESS.

14.         The IMC Chair periodically joins in on the CoDA Board meetings to learn more on what the Board is discussing and working on.  COMPLETED.

15.         Sent the latest CSC 2011 approved “Disagreement, Mediation and Resolution” by a Group Conscience by an email “blast” from CoDA to the Fellowship.  This way the Fellowship will have an updated version to properly handle disputes and individuals who exhibit inappropriate behavior since the most updated FSM is not currently posted on the coda.org website.  COMPLETED.

New Business and continuing items – Goals

1. Continue to track & monitor VEIs & gather data from remaining committees. 
2. Continue to work on internal Procedures, Policies and Practices for disputes filed with the IMC. 
3. Continue to update Summary VEI Table. 
4. Continue to assist those who file disputes in CoDA as outlined in the FSM using the IMC gathering of facts, mediation & resolution process. 
1. Continue to use CoDA tools, concepts and Traditions; to assist them and us with identifying the root of the problem (and possibly the solution) between the two parties by objectively gathering the facts from the two parties and others, indirectly or directly, involved; to possibly mediate between the two parties; and possibly bring about healthy resolution for both parties. 
5. Complete VE registration when requested. 
6. Continue to meet the needs of the Fellowship by proposing motion(s) (60) days prior to CSC that we, as a committee may deem necessary by group conscience. 
7. Continue to work on finding any needed IMC information placement on the http://www.coda.org  website to meet the needs of the Fellowship. 
8. Improve our communication methods to problem solve issues assigned to IMC. 
9. Provide new VEI status process for chairs and web coordinator. 
10. Continue to have monthly IMC teleconference meeting calls with members and work with GC. 
11. Find improved ways and tools to use in order to mediate and find resolution with disputing parties. 
12. Plan and coordinate our upcoming F2F meeting in Phoenix, AZ at the end of February, 2012 (prudent spending, agenda with assigned projects & tasks, appropriate hotel benefits).

Service Structure Committee Report

First, let us make sincere amends to the Board and members of CoDA.  We have no excuse for not letting the Board and committee know that for personal reasons we have not been able to keep up with the necessary demands of the committee, and have already placed this committee in a very awkward position due to inactivity and lack of leadership.  We will do better.

The Service Structure Committee has been inactive since the CoDA Service Conference in July.  Our interested members now include Stephany S., Eric S., Dave S., and Judi T.  We hope to hear from Karen again as her technical abilities would be a great help.  In the coming quarter, we will update the FSM & MSP to include changes approved by CSC2011.  Secondarily we will begin our discussion of items tabled by us or assigned to us.  

No one on the committee is in favor of implementing Motion #1 from SoCAL CoDA.

Translation Management Committee Report

TMC’s goal is to get CoDA literature translated into all languages!  When a meeting registers at http://www.coda.org TMC assumes that a translation and later a publication and distribution request will follow.  So that the organization is prepared for this eventuality, we divided our six members into three teams and contacted all listed meetings.  This was originated by the International Task Force.

Fifty-seven countries list meetings at http://www.coda.org.  Each country will eventually organize as a Voting Entity and request a Publication and Distribution Contract (P&D).  We are actively following 22 countries and over the past months made initial contact with another 20.  Of the 19 Spanish or Portuguese language VEs, we are actively working with seven.  We are awaiting issuance of the new contracts developed last year and recently accepted by the Board.

TMC sends CoDA literature to translation committees and has aided developing CoDA communities with seed money for website development as well as other projects.  We have earmarked funds for four VEs and other projects are under consideration.  Our most recent requests are for a Translation Agreement from Russia and a renewal from Brazil. 

TMC learns that translation committees are forming from the meeting list and when literature is ordered from CoRe and occasionally from emails.  But to be fully available to Fellowships worldwide, we have requested a TRANSLATION link to TMC’s public interface and document storage area.  The interface is to be similar to that created for Co-NNections at http://www.codaworldfellowship.org.  Then the document storage will be the same for all committees.  We have an enormous number of documents and communications that need to be available to others for years to come.

The Blue Book abridged in Español is our most important project.  CSC2011 approved that the translation from Spain, given to Mexico for finalization, would be printed by CoRe – as soon as possible.  There remain a few issues with word selection that TMC is finalizing.  There are other Spanish translation projects and some corrective actions, for example, the Steps and Traditions published on the CoDA Español website and the Spanish Workbook differ.  This will be addressed in the blue book finalization process.  TMC will discuss how to move forward. TMC will discuss other books requiring translation into Spanish. 

TMC is sending Gratitude Letters to the members of the Translation committees.  We are very grateful to the teams in Spain and Mexico for their work on the Blue Book.  Many meetings do not know that CoRe has 4 books published in Spanish.  Since TMC is in contact with meetings worldwide, we are looking at this situation.

Once the Board defines the contract, copyright and trademark processes, TMC will be able to write up our procedures.  The TMC role is to manage the contracts between CoDA and other entities that translate and distribute our literature. 

TMC welcomes new members, particularly those with language skills, international expertise and familiarity with copyrights and trademarks.

Hospitals and Institutions Committee Report

Accomplishments 

1.         Books for Inmates:  We sent out 29 Codependence Anonymous Books and 6 12 steps and 12 traditions workbooks sent to 23 different inmates

Changes to membership:
Annie and Rick are new members of the committee.  Annie is accepted to do email rotation and Rick is in process for that as well.  The extra help is very welcome.

Email processed by Outreach:
Outreach members on rotation received or sent an approximate average of 87 emails a week from an approximate average of 24 inquirers per week with perhaps as many as 1100 emails providing service to 286 inquirers during the period. 

We continue to receive a very large number of emails because Internet Explorer 9 does not show our meeting database properly unless the compatibility button is clicked, which few people know about.  The Web Coordinator reports he has been unable to correct the problem at our end.  This is a serious problem affecting not only Outreach but many, many suffering codependents who reach out to the site for help. 

Sponsorship List
During several CoDA Conferences, Outreach distributed a sheet for people to sign up as online or phone sponsors.  This information was organized into a sponsorship list, updated as necessary, and offered to inquirers unable to find face to face sponsors or preferring the greater distance.  This list was made available to the cPhone subcommittee of Communications also.  The response has been strong and some names had to be removed from the list because they could no longer accept more sponsees.  Outreach is now discussing an email blast requesting more sponsors.

Internal management
Because of the high volume of emails related to inquiries, email overload is a problem for some members of the committee.  The committee passed a GC to request another alias, “bizoutreach@coda.org," to help alleviate the problem. 

Additional projects
Discussion is currently taking place relating to a proposal to make available meeting formats developed by local groups so other groups can access their experience.  

Update Outreach
REQUEST: Please be sure your meeting(s) are updated at least once a year.  Updating meeting information is critical, as stale information puts a major roadblock in the way that the meeting database helps carry the message to the still-suffering codependent.

A former member of the committee worked proactively on updating old meetings with old information.  But continuing this now that she is no longer with us requires personnel and knowledge not available during the past quarter so no action can be taken right now.  However, as usual, the Committee as a whole has been active in updating meeting information when issues were brought to their attention.  Volunteers from the Fellowship at-large would be helpful in this process.  Contact info: updateouteach@coda.org  or outreach@coda.org.

Mission: The Spanish Outreach primary mission is to uphold Tradition Five of Co-Dependents Anonymous, and carry the message of recovery to Spanish-speaking codependents throughout the World.  Spanish Outreach is one group of recovery codependents, working cooperatively to fulfill our mission.

Our Work: We provide information to Spanish speaking codependents seeking assistance in finding CoDA meeting groups, literature, and information on the process to open a new group or a new Intergroup in their Country.

Literature Committee Report

The CoDA Literature Committee remains committed to its mission of encouraging and facilitating the creation of new literature written by and for the Fellowship of Co-Dependents Anonymous.  Writing for CoDA is a wonderful way to "carry the message," as expressed in Step Twelve.  The CLC welcomes participation from CoDA members.  We invite submissions from individuals and from groups.  For information on current projects, to find out how to participate, and to offer suggestions for new or existing literature, please contact: CLC at lit@coda.org. 

The CLC is actively involved in the following new projects led by members of CLC who have agreed to be Project Leaders for each of these activities:

1.         Grief Recovery Pamphlet: This on-going task involves the writing of a pamphlet or booklet that uses the principles of the CoDA Steps and Traditions to assist in recovering from the grief of loss, which may include death of a loved one, losses in childhood, divorce, loss of employment, loss of relationships and other sources of deep grief that affect members of the CoDA fellowship.  Please send your submission to grief@coda.org with the required copyright release available on the CoDA website on the Literature home page.  

3.         Manual of Operations: This on-going task involves the creation of a manual for operations of the CLC, as required by a motion passed by CSC in July, 2010.  The Manual has been reviewed by CLC members and CoRe and is undergoing final changes.  It clarifies and supports the process for bringing a new piece of literature from the drafting stage to publication by CoRe, among other things.  It also includes guidelines for members (including admission to membership on the CLC) and guidelines for the Chair of CLC. 

4.         StoryGatherers Project: This on-going task involves the solicitation and compilation of stories submitted by members of the worldwide fellowship of CoDA detailing their recovery in CoDA.  We welcome all members to submit these stories for eventual publication and distribution in a format yet to be decided, but which may include updating the stories contained in the current CoDA Book.  Please send your stories to lit@coda.org with the required copyright release available on the CoDA website on the Literature home page.

5.         Ongoing Tasks: In addition to these specific projects and reviewing new submissions, the CLC remains committed to working closely with (a) CoDA members who propose new literature or changes to existing literature, (b) CoRe in connection with the publication of new literature as well as the reprinting and editing of existing literature and (c) the Board of Directors in reviewing requests for copying or reprinting CoDA literature or service items posted on the CoDA website and related intellectual property issues.

Co-NNections Report

The Co-NNections Committee continues to review and post CoDA member submissions to the “Co-NNections Collection” and to the “Weekly Reading” found at http://www.coda.org.  

There have been 350 new subscribers to “Weekly Reading,” increasing the total to 3,736.  Subscribers to the service receive an email reminder that the new CoDA member creation has been posted.  The email contains a link that sends subscribers directly to the latest post.  People interested in subscribing to this service can sign up at the Co-NNections page at http://www.coda.org/co-nnections.php.  The link is located halfway down the blue section.

CoDA members interested in sharing something they’ve created about their CoDA experience and recovery can send it to Co-NNections for consideration to publish.  Criteria to get things started can be found at http://www.coda.org/service/connections-submit.php.  Submissions can be something written about their CoDA experience, a recovery cartoon they’ve created, an interesting recovery audio or video clip they’ve created.  Think about it … recovery friends are interested in your progress in recovery and creativity across the world.

We have worked on automatic approval and reject response emails for article submissions.  This provides transparency for the committee should a committee member resign.  This is an ongoing project as issues come up.

An established Co-NNections member, Claudia F. (MD), resigned from Co-NNections after many years of service to CoDA.  She continues to volunteer as president of a Twelve Step Recovery Center in Maryland.  Grateful thanks, Claudia

Web Coordinator Report

Your Web Coordinator’s workload has slowed a little.  Also, the Web Coordinator position is changing next quarter.  Leo C. has been chosen by the Board to replace me and take over the Web Coordinator duties.  The board also decided to change the name from Web Coordinator to Webmaster.  You should see some changes to the web pages shortly to that effect.  The webcoordinator@coda.org  email alias will continue to work.

I have enjoyed my time as your Web Coordinator.  Sometimes the workload has been very heavy, but always I have seen continuing improvements in the CoDA website, and I would like to thank CoDA as a whole.  I appreciate all of you who sent in corrections and additions to the website; you helped make it better.  I would especially like to thank the CoDA Boards for their assistance.  I have worked through several different Boards, but I have found that as people enter and leave the Board, a desire to maintain the website within the CoDA Steps and Traditions has been evident.

While I have been the Web Coordinator we moved the website twice (three times if you count the move just before I took over), changed the appearance of the website at least three times, not counting the major change just before I took over.  The site should see even greater improvements as the new Webmaster takes over.

I say goodbye to you all to devote more time to a loving and healthy relationship with my new wife.

Special:  Transition to the new webmaster is going smoothly.  I have agreed to assist Leo get up and running, but he already knows a lot of what is needed to manage the website as he manages a separate CoDA meeting website already.

Hello Fellowship,

Our February Board Con call summary is as follows:

We opened with the Serenity Prayer and then established the order of our round robin.  Those present were:  Lisa B. - vice chair, Evie- chair, Jutta E. - Trustee, Dagmar M. -Trustee, Barbara D. - Treasurer, Julie B. -Trustee, and Mercedes M. - Trustee.  Two CoDA members listened in. Our call was recorded.

We approved the January minutes and the Treasurer gave her report.  A prepaid credit card with $500 credit has been established for Events to use for CSC/Convention. 

We ratified motions made via email over the previous month.  We unanimously approved a motion for Lisa and Evie to attend the Mexico national convention and conference.  A budget not to exceed $2000 was approved.  It was suggested that if time and budget allowed their visit could be extended to attend local meetings in Guadalajara.

We unanimously approved the use of an international welcome letter to be given to new international meetings who contact us. The Board chair will send the letter on behalf of the whole Board.  The chair will introduce the name and contact details of their Board Liaison.  In addition, we unanimously approved the use of a Voting Entity (VE)  liaison letter with the intent of offering support.

We approved the use of 3 new VE contract templates.  We also approved a uniform procedure to be used for the signing and storing of contracts.

Lisa and Dagmar are working on possible bylaw changes to be reviewed by the Board and submitted at least 75 days before the next CSC- April 26, 2012.

A proposal was made by David G. for the redesign of the meeting search engine for $4200.  We unanimously approved.  

We have requested from Dave F. a handover of the codafellowship.org domain name.  All domain names used for CoDA world websites should be owned by CoDA Inc.

We are updating our VE contact list and we continue to request for all VEs to update their delegate information with the Board. This information is necessary to ensure that we can provide information to delegates far enough in advance of the CoDA Service Conference (CSC ) so that they can get input from their VE regarding motions to be voted on. We discussed soliciting VE reports for inclusion in Quarterly Service Reports (QSR).  We will be greatly aided by having an up to date list of VE delegates.

The Communications Committee had requested guidance concerning what should or should not go out on the email announcement list.  It was agreed that Comm has a good understanding of what can and cannot go out via the list and will request guidance over any particular matter as needed. 

Our next Board Con call will be Sunday, March 11, 2012.  Our April call is currently scheduled for April 15.

With 2012 Conference just around the corner, (July 10th!), we wanted to share this information with you; both as a reminder to returning delegates & also to the CoDA fellowship as a whole: it's important to note that per tradition 2 it is hoped that your elected CoDA delegates represent the Group conscience of your CoDA community rather than their own opinions. Another important role of your delegates is to keep you & your local fellowship informed of issues effecting CoDA as a whole, & where appropriate to make the CoDA World Fellowship aware of your local area's group conscience.

Delegate Checklist

First and foremost, a delegate is responsible for being a conduit for communication between the CSC and the fellowship. The following is a checklist that we hope will help delegates ensure that they have completed all their duties before, during and after Conference.

Several motions were passed at the 2010 CSC that requires VE Issues and all motions be sent to the Events Committee at least 60 days prior to the start of CSC. This is to allow adequate time for the delegates to retrieve these items and pass them on to their respective communities so that the communities and meetings can know what is happening and share their group conscience on each matter. Thus, the voice of the CoDA membership may be heard and voted by delegates at Conference.

1.      Ensure that any items the VE wishes brought to Conference are available according to the time line (60 days prior to the start of CSC).

2.      Check the CoDA .org website early and often to acquire all items to be brought to the Conference floor and provide these to the communities' reps for group conscience at the meetings.

3.      Check with the communities for all membership group conscience on items to be brought to the Conference (from the CoDA website).

4.      Preparation for Conference: have all group conscience decisions for items and be familiar with the delegate package provided on CoDA website.

5.      At Conference, be sure to vote as your VE's collective group conscience has determined. Also, keep good notes and collect any handouts to show to your VE.

6.      After Conference, write a report on all that transpired, including the status of your VE's motions, if any, and the status of all motions voted on or tabled at the Conference. Understand that the database does not often give much detail about the motions, so any detail you can provide will be helpful.

7.      If your VE has submitted issues or motions that were given to a committee to decide, be sure to acquire and maintain contact with that committee so that you can monitor progress on your issues and perhaps initiate motion from that committee.

8.      Emphasize to the Voting Entity secretary, Intergroup officers, and group representatives the importance of sending current directory information to CoDA as changes occur.

9.      Act as a liaison for the Voting Entity and CoDA Board of Trustees

10.     Keep the alternate Delegate informed and engaged with all activities, correspondence, and events to build the alternate's expertise in Intergroup, Voting Entity, and CoDA matters.

11.     When your term is over, be sure to pass this checklist and all pertinent information to your successor. All delegates should have enough time in CoDA to understand that service work is sometimes trying of one's patience and be equipped to handle the stress at Conference and of disagreeing with others without losing one's cool. This is not always the case and it can cause extra tension. Be prepared to deal with and handle the extra tension and not cause any of it. Delegates should also strive to learn as much about how CoDA works as possible. Ask members who have participated at the World CoDA level. If there is no one available close to you, there are members available through email. The Outreach Committee or the Communications Committee may be able to put you in touch with people you can talk to and get the information you need.
